1. Introduction and Acceptance of These Terms

Welcome to PlantBridge Africa (“PlantBridge Africa”, “we”, “us” or “our”).

PlantBridge Africa operates an online marketplace connecting buyers, equipment dealers, manufacturers, suppliers, exporters and other businesses involved in construction, mining, material handling, transportation, power generation and related industries.

Our website enables users to discover, advertise, compare and enquire about construction equipment, machinery, trucks, lifting equipment, generators, spare parts and related products.

These Terms and Conditions (“Terms”) govern your access to and use of the PlantBridge Africa website, marketplace, dealer directory, product listings, user accounts and associated services.

By accessing or using our website, creating an account, registering as a dealer, publishing a listing or otherwise using our services, you agree to these Terms. If you do not agree, you must not use the services.

If you use PlantBridge Africa on behalf of a company or another legal entity, you confirm that you have authority to bind that entity to these Terms.

Certain services may be subject to additional pricing schedules, vendor agreements or service-specific terms. Those terms apply alongside these Terms where relevant.

2. Definitions

Dealer or Seller A manufacturer, distributor, dealer, exporter, supplier, trader, business or other person advertising or offering equipment or related products through the marketplace.

Services The website, marketplace listings, dealer directory, account facilities, verification services and other features made available by PlantBridge Africa.

3. Nature of the Marketplace

3.1 Platform role

PlantBridge Africa provides an online platform through which buyers can discover equipment and contact sellers. Dealers may use the platform to advertise their products and receive enquiries from potential buyers.

Unless expressly agreed otherwise in writing, PlantBridge Africa acts as a marketplace operator and not as the manufacturer, owner, importer, exporter, dealer, agent or seller of equipment listed by third parties.

3.2 Independent transactions

Buyers and sellers are responsible for communicating, negotiating and entering into their own transactions.

Transaction matter Responsibility
Equipment, specifications and condition Buyer and seller
Purchase price, deposits and payment arrangements Buyer and seller
Equipment inspections and testing Buyer, with cooperation from seller where agreed
Delivery, shipping, collection and installation Buyer and seller
Import and export requirements, customs duties and applicable taxes Relevant parties under applicable law
Warranties, after-sales support and spare parts Seller, where offered or agreed
Cancellation, returns and refunds for equipment purchases Buyer and seller, subject to applicable law

3.3 No guarantee of a transaction

PlantBridge Africa does not guarantee that a listing will generate enquiries, sales, leases, exports, deliveries or other commercial transactions. We do not guarantee that a buyer will complete a purchase or that a seller will accept an offer.

3.4 No general agency relationship

Except where separately agreed in writing, PlantBridge Africa is not the agent, partner, joint venture participant or legal representative of a buyer or seller.

A seller does not have authority to make commitments on behalf of PlantBridge Africa merely by advertising on our website or holding a dealer account.

4. Eligibility and Acceptable Use

You may use PlantBridge Africa only for lawful purposes and in accordance with these Terms.

You agree that you will:

  1. Provide accurate information when registering an account or submitting an enquiry.
  2. Not impersonate another person, business or organisation.
  3. Not use the platform to commit fraud, facilitate unlawful transactions or mislead other users.
  4. Not publish content that is illegal, deceptive, threatening, defamatory or otherwise prohibited by applicable law.
  5. Not attempt to gain unauthorised access to accounts, systems or restricted areas of the website.
  6. Not introduce malicious software, interfere with website security or disrupt the Services.
  7. Not scrape, harvest or collect user information for spam, unauthorised marketing or other unlawful purposes.
  8. Not use the platform to infringe intellectual property rights or violate another person’s legal rights.

We may restrict access to features, suspend accounts or remove content where reasonably necessary to enforce these Terms, protect users, maintain platform integrity or comply with the law.

5. User Accounts

5.1 Account registration

Some marketplace features, including dealer listing and management functions, may require registration.

You agree to provide accurate, complete and current registration information and to update it when necessary.

5.2 Account security

You are responsible for safeguarding your login credentials and for activities carried out through your account, subject to applicable law.

You must notify PlantBridge Africa promptly if you suspect unauthorised access to your account.

You must not share, transfer, sell or assign your account to another person without our prior written consent.

5.3 Account suspension and closure

We may suspend, restrict or terminate an account if we reasonably believe that it:

  • Has been used fraudulently or unlawfully.
  • Contains false or materially misleading information.
  • Is being used to publish prohibited listings.
  • Has violated these Terms or an applicable fee agreement.
  • Presents a material security risk to the platform or its users.
  • Is otherwise subject to a lawful restriction.

Where reasonably practicable, we will provide notice and an opportunity to address the issue. We may act immediately where necessary to prevent fraud, protect users, preserve evidence or comply with the law.

You may request account closure by contacting us. Closure does not automatically cancel unpaid fees, resolve existing disputes or remove obligations that arose before closure.

6. Dealer Registration and Responsibilities

6.1 Dealer information

Dealers must provide truthful business information, including their business name, contact details, location and other information reasonably requested during registration or verification.

A dealer registering on behalf of a company confirms that they are authorised to represent that company.

6.2 Dealer obligations

By publishing listings, you represent and agree that:

  1. You have the legal right and authority to advertise and offer the equipment.
  2. The information in your listings is accurate and not materially misleading.
  3. You will disclose material facts about the equipment, including known defects or damage where relevant.
  4. You will not falsely claim to own, possess, manufacture, distribute or represent equipment or a brand.
  5. You will not advertise equipment that you have no legitimate authority to offer.
  6. You will keep prices, availability, specifications and contact details reasonably current.
  7. You will respond to enquiries honestly and in a commercially reasonable manner.
  8. You will comply with applicable laws relating to sales, advertising, consumer protection, product safety, importation, exportation, sanctions and taxation, as applicable.
  9. You will honour commitments made directly to buyers under agreements you enter into.
  10. You will promptly correct or remove a listing that becomes inaccurate, unavailable or unlawful.

PlantBridge Africa may request additional information or documents to establish the legitimacy of a dealer or listing.

6.3 No misleading representation

Dealers must not use false claims about business registration, authorised dealership, manufacturer relationships, product origin, certifications, equipment condition, operating hours, service history or warranty coverage.

You must not use another business’s name, logo or credentials in a way that falsely implies affiliation or authorisation.

7. Equipment Listings and Product Information

7.1 Listing requirements

Listings must relate to genuine equipment, machinery, parts or other products and services permitted by PlantBridge Africa.

Where relevant, a listing should clearly state:

  • Equipment name, make, model and year.
  • New, used, refurbished or other applicable condition.
  • Main specifications and operating capacity.
  • Location of the equipment.
  • Asking price or whether the price is available on enquiry.
  • Availability and expected delivery arrangements.
  • Known material defects, damage or limitations.
  • Relevant photographs, documentation and warranty information, where available.

The level of detail required may vary according to the type of product.

7.2 Accuracy and availability

A listing must not misrepresent the condition, age, specifications, ownership, availability or price of equipment.

Photographs should reasonably represent the actual equipment offered. If illustrative, stock or manufacturer images are used, they must not mislead buyers about the identity or condition of the particular item being sold.

If equipment is sold, withdrawn, damaged, no longer available or materially different from the listing, the seller must update or remove the listing promptly.

7.3 Pricing

Unless otherwise stated, prices and commercial offers are provided by the seller and not by PlantBridge Africa.

A listed price may exclude taxes, transport, insurance, customs duties, installation, commissioning or other costs. Sellers should disclose relevant exclusions and additional charges clearly.

Buyers should confirm the total payable amount and all commercial terms directly with the seller before committing to a transaction.

7.4 Listing review and removal

PlantBridge Africa may review, edit for presentation, decline, suspend or remove a listing that appears to violate these Terms, applicable law or our marketplace requirements.

We may request supporting evidence or clarification before approving or continuing to display a listing.

A listing’s appearance on the website does not mean that PlantBridge Africa independently inspected, tested, authenticated or approved every statement in it.

8. Dealer Verification

8.1 Verification process

PlantBridge Africa may offer a dealer verification process under which a dealer is asked to provide business information, registration records, identity or authority documents, contact details or other supporting information.

We may review submitted documents and information to assess whether a dealer meets our verification requirements.

8.2 Meaning of Verified Dealer status

A “Verified Dealer” designation means only that the dealer has completed the applicable verification process to the extent described by PlantBridge Africa.

Verification does mean Verification does not mean
The dealer’s submitted business information or supporting documents have been reviewed under the applicable process. The dealer is guaranteed to be honest or will fulfil every future commitment.
The dealer has met the applicable verification requirements at the time of review. PlantBridge Africa guarantees equipment ownership, title or availability.
The dealer has been approved for the Verified Dealer designation under that process. The equipment has been independently inspected or mechanically assessed by PlantBridge Africa.
The designation reflects the scope of the review actually performed. PlantBridge Africa guarantees equipment quality, condition, safety, performance or the dealer’s financial standing.

Buyers should carry out their own due diligence before paying for or taking delivery of equipment.

8.3 Verification decisions

We may approve, decline, suspend or withdraw verified status if information is incomplete, inconsistent, expired, misleading or no longer satisfies our requirements.

We may request updated documents where reasonably necessary. Verification is not permanent, and we do not guarantee that every document or representation remains current after review.

8.4 Verification documents

Dealers must provide genuine documents and must have a lawful basis for submitting personal or business information relating to other people.

Verification documents will be handled in accordance with our Privacy Policy and applicable data protection law. Access may be restricted to personnel or service providers who reasonably require the information for verification, security, compliance or administration.

9. Listing Fees, Promotional Charges and Sales Commissions

9.1 Applicable charges

PlantBridge Africa may offer or charge for the following services:

Charge type Description
Listing fees Fees for publishing or maintaining equipment listings, where applicable.
Dealer subscriptions or account fees Fees for specified dealer account plans or features, where offered.
Featured listing or promotional fees Fees for enhanced placement, promotion or visibility, where offered.
Verification-related fees Fees for verification-related services, only where expressly offered.
Sales commissions Commissions payable under an agreed seller commission arrangement.
Other service charges Other marketplace services or charges clearly described to the user.

Not every fee will apply to every dealer or listing.

9.2 Advance disclosure

Any applicable fee, commission rate, calculation method, payment deadline and material condition will be communicated through the relevant pricing page, listing plan, invoice, written agreement or other appropriate notice.

You must be informed of applicable charges before being bound to pay them. Where acceptance is required, you must accept the applicable fee or commission terms before the relevant service is activated or the obligation arises.

These Terms do not establish a specific listing fee or commission amount.

9.3 Listing and promotional fees

Listing and promotional fees are non-refundable once the relevant listing or promotional service has been activated or delivered.

This non-refund policy applies regardless of whether a listing generates enquiries, leads, sales or other commercial results.

If PlantBridge Africa declines a listing before activating or delivering the paid service, or cannot provide a paid service, the applicable refund or credit will be determined by the disclosed service terms and applicable law.

Nothing in this section excludes a refund or other remedy required by applicable law.

9.4 Sales commissions

Where a seller has agreed to a sales commission arrangement, the seller must pay PlantBridge Africa the applicable commission in accordance with the agreed commission terms.

The commission rate, calculation method, payment deadline and other applicable conditions will be communicated through the relevant vendor agreement, pricing document or other written agreement.

Sellers are responsible for their own tax obligations arising from their business activities and transactions, in accordance with applicable law.

9.5 Transactions originating through PlantBridge Africa

Where a seller has accepted a commission arrangement covering transactions generated through PlantBridge Africa, the seller must provide accurate information reasonably necessary to determine whether a covered transaction has been completed and what commission is due.

The seller must not knowingly provide false transaction information or deliberately conceal a covered completed sale to avoid an agreed commission.

The scope and duration of any commission obligation must be set out in the applicable commission terms. No additional commission obligation will arise solely from this clause where no applicable commission arrangement has been accepted.

9.6 Invoices and overdue payments

Invoices must be paid by the deadline stated in the applicable fee terms or invoice.

If an amount remains overdue, PlantBridge Africa may, after any required notice or opportunity to remedy the default, suspend paid features, pause promotional services, restrict new listings or take other proportionate steps permitted by law and the applicable agreement.

Any late payment charge or other penalty must be disclosed in advance and comply with applicable law.

9.7 Changes to fees

We may revise our pricing or introduce new paid services by giving appropriate notice before the revised charges apply.

Unless agreed otherwise or permitted by law, a fee change will not retrospectively alter charges already incurred or impose a new commission on a past transaction for which no such charge was agreed.

If you do not accept a new fee that applies to an optional service, you may discontinue that service in accordance with its terms.

10. Buyer Responsibilities and Due Diligence

Buyers are responsible for assessing the suitability of equipment and the reliability of sellers before entering into a transaction.

Before making payment or entering into a binding agreement, buyers should, as appropriate:

  1. Confirm the seller’s identity, business details and authority to sell.
  2. Inspect the equipment in person or arrange an independent inspection.
  3. Verify the make, model, serial number, year, specifications and operating hours.
  4. Check ownership, title, liens or other restrictions where relevant.
  5. Review maintenance records, damage history, service records and supporting documents.
  6. Confirm the price, payment instructions, currency, taxes and additional charges.
  7. Agree on delivery, collection, shipping, insurance, installation and commissioning.
  8. Confirm the applicable warranty, returns policy and after-sales support.
  9. Verify any import, export, customs or regulatory requirements relevant to the transaction.
  10. Independently verify payment details before transferring funds.

Buyers must not rely solely on a listing, seller representation, photograph or verification badge when making a significant purchase.

These responsibilities do not remove any rights that buyers may have under applicable law.

11. Negotiations, Payments and Completion of Sales

11.1 Direct dealings

Buyers and sellers are responsible for negotiating and documenting their own commercial agreements.

Unless expressly stated otherwise in a separate written agreement, PlantBridge Africa is not a party to the sale, purchase, lease or supply agreement between them.

11.2 Payment arrangements

Matter Standard marketplace arrangement
Equipment purchase payments Buyers pay sellers directly using a method agreed between them.
Escrow or holding of purchase funds PlantBridge Africa does not hold purchase funds in escrow under the standard marketplace model.
Payment guarantee PlantBridge Africa does not guarantee payment or provide a payment-protection service under the standard marketplace model.
Seller payment instructions Buyers should independently verify the identity of the recipient and the payment details before transferring funds.

Unless expressly stated otherwise in a separate written agreement, PlantBridge Africa does not collect or hold the equipment purchase price.

Users must not represent that PlantBridge Africa has received, secured, approved or guaranteed a payment unless we have expressly confirmed this through a separately agreed service.

11.3 Fraud prevention

Users should independently verify the identity of the person receiving payment and confirm any change to bank details or payment instructions through a trusted communication channel.

PlantBridge Africa will not be responsible for a payment sent to an impostor or unauthorised recipient merely because the parties initially connected through the marketplace, subject always to applicable law and any responsibility that cannot lawfully be excluded.

11.4 Sales disputes

Disputes concerning the equipment, price, payment, ownership, delivery, condition, warranty, refund or fulfilment of a sale must ordinarily be addressed by the buyer and seller directly.

PlantBridge Africa may, at its discretion, provide information, review a complaint or facilitate communication. We are not obliged to mediate or resolve every dispute, and any assistance does not make us a party to the transaction.

Nothing in this section prevents a user from exercising rights available under applicable law.

12. Cancellations, Returns and Refunds

Because buyers and sellers enter into their own transactions, the terms governing cancellation, returns, deposits and refunds should be agreed between those parties before a sale is completed.

Payment or service Refund position
Equipment purchase price paid directly to a seller Any refund is ordinarily handled by the buyer and seller under their agreement and applicable law. PlantBridge Africa does not automatically refund purchase prices.
Deposit paid directly to a seller The seller’s agreed deposit and cancellation terms apply, subject to applicable law.
PlantBridge Africa listing fee Non-refundable once the listing service has been activated, subject to any remedy required by law.
PlantBridge Africa promotional fee Non-refundable once the promotional service has been activated or delivered, subject to any remedy required by law.
Other paid PlantBridge Africa services The refund terms disclosed for that service and applicable law apply.

A buyer should confirm the seller’s cancellation and refund policy in writing before paying a deposit or purchase price.

If PlantBridge Africa declines a listing before activating or delivering the paid service, or cannot provide a paid service, the applicable refund or credit will be determined by the disclosed service terms and applicable law.

Nothing in these Terms excludes a refund, cancellation right or other remedy that cannot lawfully be excluded.

13. Prohibited Listings and Activities

Unless we expressly authorise an activity in writing, you must not use PlantBridge Africa to:

  • Advertise stolen, counterfeit or unlawfully obtained equipment.
  • Publish fictitious listings or equipment that you have no legitimate authority to offer.
  • Misrepresent equipment condition, ownership, availability, specifications or pricing.
  • Use fraudulent identities, forged documents or misleading verification claims.
  • Advertise goods or services prohibited by applicable law.
  • Infringe trademarks, copyrights, patents, designs or other intellectual property rights.
  • Publish spam, duplicate listings intended to manipulate search results, or deceptive promotional content.
  • Manipulate enquiries, reviews, verification status or marketplace visibility through fraudulent means.
  • Collect personal information without authorisation or use it for unlawful purposes.
  • Circumvent reasonable platform security controls or interfere with website operations.
  • Use PlantBridge Africa to facilitate money laundering, fraud, sanctions evasion or other unlawful conduct.

We may investigate suspected violations and take proportionate action, including removing content, restricting accounts, withdrawing verification status, preserving relevant records or reporting conduct where legally required or appropriate.

14. Intellectual Property

14.1 PlantBridge Africa materials

Unless otherwise stated, PlantBridge Africa and its licensors retain rights in the website’s branding, logos, design, text, graphics, software and other original platform materials.

You may use the website for its intended marketplace purposes. You must not copy, reproduce, republish, distribute, modify or commercially exploit protected PlantBridge Africa materials without permission, except where permitted by law.

14.2 Seller content

Dealers retain ownership of the content they lawfully own or are authorised to use, including product descriptions, photographs, logos and business materials.

By submitting content to PlantBridge Africa, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, distribute and promote that content as reasonably necessary to operate, maintain, improve and market the marketplace.

This licence includes displaying your listings on the website and, where appropriate, promoting them through PlantBridge Africa’s marketing channels.

You confirm that you have the rights and permissions necessary to grant this licence.

The licence continues for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, maintain backups or preserve records, subject to applicable law and our Privacy Policy.

14.3 Intellectual property complaints

If you believe that content on PlantBridge Africa infringes your intellectual property rights, contact info@plantbridgeafrica.com with:

  • Your name and contact details.
  • Identification of the protected work or right.
  • The location or link to the disputed content.
  • An explanation of the alleged infringement.
  • Evidence of your ownership or authority to act, where appropriate.

We may request further information and may remove or restrict the disputed content while reviewing the complaint.

Knowingly submitting false infringement claims may result in appropriate action.

15. Third-Party Websites and Services

PlantBridge Africa may contain links to third-party websites, manufacturer pages, seller websites, social media accounts or external services.

These links are provided for convenience or information. Unless expressly stated otherwise, PlantBridge Africa does not control and is not responsible for the content, availability, policies, products or services of third-party websites.

Accessing a third-party website or conducting business through it is at your own discretion and subject to that third party’s applicable terms and policies.

The presence of a third-party link does not necessarily mean PlantBridge Africa endorses the third party.

16. Website Availability and Changes

We aim to keep PlantBridge Africa accessible and functioning reliably. However, we do not guarantee uninterrupted, error-free or continuous availability.

The website or particular features may occasionally be unavailable because of maintenance, technical problems, security measures, hosting issues, third-party service failures or circumstances outside our reasonable control.

We may update, improve, suspend, restrict or discontinue features of the marketplace where reasonably necessary for operational, commercial, legal or security reasons.

Where a material change affects a paid service or an existing agreement, we will handle the change in accordance with the applicable agreement and applicable law.

We may correct typographical errors, inaccurate categorisation or formatting problems in website content. We will not knowingly use such corrections to materially misrepresent a seller’s equipment.

17. Disclaimers

To the extent permitted by applicable law, PlantBridge Africa provides marketplace access on an “as available” basis.

We do not guarantee that:

  • Every listing is accurate, complete or current.
  • Every seller is genuine or financially capable.
  • Every item of equipment exists, is available or is legally saleable.
  • Equipment will meet a buyer’s requirements or perform as expected.
  • A seller will complete a transaction or honour a commitment.
  • The website will always operate without interruption, error or security risk.

Information on the website is provided for marketplace discovery and informational purposes. Buyers should obtain independent technical, legal, financial or other professional advice where appropriate.

Nothing in these Terms excludes any express commitment made by PlantBridge Africa in a separate written agreement or any representation or obligation that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, PlantBridge Africa will not be liable for indirect, incidental, special or consequential losses arising from your use of the marketplace, including loss of profits, business opportunities, anticipated savings, goodwill or data, where such exclusion is legally permitted.

Subject to applicable law, we are not responsible for losses arising solely from disputes or transactions between independent buyers and sellers, including disputes concerning equipment condition, ownership, payment, delivery, warranties or seller performance.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury where liability cannot lawfully be excluded, or any other liability that applicable law does not permit us to limit.

Any additional limitation or financial cap on liability will apply only to the extent permitted by law and, where required, expressly agreed in a valid applicable agreement.

19. Indemnity

To the extent permitted by applicable law, you agree to indemnify PlantBridge Africa and its personnel against reasonable third-party claims, losses, liabilities and expenses arising directly from:

  • Your material breach of these Terms.
  • Your fraudulent, unlawful or intentionally misleading conduct.
  • Your infringement of another person’s intellectual property or other legal rights.
  • Your violation of applicable law.
  • Content or listings you submit that unlawfully harm another party.

This clause does not require you to indemnify PlantBridge Africa for losses caused by our own unlawful conduct, negligence or breach of an obligation where such indemnification would be prohibited by law.

We will provide reasonable notice of a claim for which indemnification is sought and allow reasonable cooperation in responding to it, subject to any urgent action necessary to protect legal rights.

20. Privacy and Cookies

Your use of PlantBridge Africa is also subject to our Privacy Policy and Cookie Policy, which explain how personal information and cookies are handled.

These policies should be read together with these Terms.

By using the platform, you acknowledge that your information may be processed as described in the applicable policies and in accordance with applicable data protection law.

You are responsible for ensuring that any personal information you submit about another person is provided lawfully and, where required, with that person’s permission.

For privacy-related enquiries, contact info@plantbridgeafrica.com.

21. Suspension, Termination and Removal of Content

PlantBridge Africa may take appropriate action where a user breaches these Terms, where a listing appears unlawful or deceptive, or where action is reasonably necessary to protect the marketplace or its users.

Actions may include:

  • Requesting correction of a listing.
  • Rejecting, hiding or removing content.
  • Suspending or withdrawing dealer verification.
  • Restricting account functions.
  • Suspending or terminating an account.
  • Suspending paid services where permitted by the relevant agreement.
  • Reporting suspected unlawful activity to appropriate authorities where required or appropriate.

Where reasonably practicable, we will explain the basis for material restrictions and provide an opportunity to respond or remedy the issue.

You may stop using PlantBridge Africa at any time. If you have a paid service or outstanding fee obligation, the applicable terms will determine what happens on termination, subject to applicable law.

Termination does not extinguish accrued payment obligations or provisions that by their nature are intended to survive termination, including intellectual property, indemnity, liability, dispute resolution and governing law provisions.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes in our marketplace, business model, services, fees, legal obligations or operating practices.

The revised version will be published on this page with an updated “Last Updated” date.

Where a change materially affects existing users or a paid service, we will provide reasonable notice where appropriate or legally required.

Your continued use of the Services after revised Terms take effect constitutes acceptance of those revisions where such acceptance is legally effective. If you do not agree to a material change, you should discontinue the affected service or stop using the platform, subject to any existing contractual obligations and applicable law.

Any change that requires your express consent will not take effect against you until that consent has been obtained.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya, subject to any mandatory laws that apply to a particular user or transaction.

If you have a complaint concerning PlantBridge Africa, please contact us first at info@plantbridgeafrica.com and provide sufficient details for us to review the matter.

We will endeavour to address complaints in a reasonable and timely manner.

Where a dispute cannot be resolved informally, it may be referred to a competent court in Kenya, subject to applicable jurisdictional rules and any mandatory consumer rights or legal protections that apply.

Disputes arising from a buyer–seller transaction should ordinarily be addressed between those parties. This does not prevent either party from seeking assistance from a competent authority or exercising any legal right available to them.

Nothing in this section prevents a party from seeking urgent legal relief where appropriate.

24. General Provisions

24.1 Entire agreement

These Terms, together with the applicable Privacy Policy, Cookie Policy and any additional terms expressly agreed for a particular service, constitute the agreement governing your use of the marketplace, to the extent applicable.

24.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent legally possible.

24.3 No waiver

A failure or delay by PlantBridge Africa in exercising a right under these Terms does not constitute a waiver of that right.

24.4 Assignment

You may not transfer your rights or obligations under these Terms without our prior written consent, except where permitted by law.

PlantBridge Africa may transfer its rights and obligations as part of a lawful business restructuring, merger, sale or transfer of the relevant business, subject to applicable law and any required notices or consents.

24.5 Force majeure

Neither party will be responsible for a delay or failure to perform an obligation to the extent it is caused by circumstances beyond that party’s reasonable control, subject to applicable law. This does not excuse payment obligations already due or obligations that cannot lawfully be suspended.

24.6 No waiver of statutory rights

Nothing in these Terms is intended to remove rights or remedies that cannot lawfully be excluded, restricted or waived.
