1. Introduction

These Vendor Terms and Conditions (“Vendor Terms”) govern the registration and use of dealer accounts, storefronts, product listings and vendor services on PlantBridge Africa (“PlantBridge Africa”, “we”, “us” or “our”).

PlantBridge Africa is an online marketplace connecting equipment dealers, manufacturers, suppliers and other businesses with buyers seeking construction equipment, mining machinery, trucks, lifting equipment, generators, spare parts and related products across Africa.

These Vendor Terms apply to any business or individual registering or operating as a vendor on the marketplace.

By registering as a vendor, submitting information for verification, publishing a listing or using vendor account features, you agree to these Vendor Terms, the general PlantBridge Africa Terms and Conditions, and any applicable vendor pricing document or separate written agreement that you accept.

If you do not agree to these terms, you must not register or operate as a vendor on PlantBridge Africa.

3. Vendor Eligibility and Registration

3.1 Who may register

PlantBridge Africa may accept registrations from legitimate businesses involved in selling, manufacturing, distributing, exporting or supplying construction equipment, mining machinery, trucks, industrial equipment, spare parts and related products.

PlantBridge Africa may request additional information to confirm that authority.

3.4 Account security

Vendors are responsible for maintaining the confidentiality of their account credentials and for activity conducted through their accounts, subject to applicable law.

Vendors must notify PlantBridge Africa promptly if they suspect unauthorised access to their account.

4. Dealer Verification

4.1 Verification requirements

PlantBridge Africa may require vendors to submit business information and supporting documents for review before granting or maintaining verified status.

The documents and information requested will depend on the verification requirements applicable at the time.

Vendors must provide genuine, accurate and current information. Forged, altered, misleading or unlawfully obtained documents are prohibited.

4.2 Meaning of the Verified Dealer badge

The Verified Dealer badge relates to the dealer or business verification process. It does not mean that every product listed by the dealer has been inspected or independently authenticated by PlantBridge Africa.

4.3 Approval and withdrawal

PlantBridge Africa may approve, decline, suspend or withdraw verified status where information is incomplete, inconsistent, expired, misleading or no longer satisfies the applicable requirements.

We may request updated documents or further clarification when reasonably necessary.

A vendor must not continue to claim verified status after it has been withdrawn or suspended.

4.4 Changes to business information

Vendors must notify PlantBridge Africa of material changes to their business name, ownership, contact details or other information relevant to verification.

Failure to provide accurate updates may result in a review of the vendor’s account or verified status.

5. Vendor Storefront Management

5.1 Storefront information

Vendors are responsible for maintaining accurate and professional storefront information, including their business description, contact details, location, logo and other information displayed to buyers.

5.2 Storefront ownership and use

A vendor may use its storefront to promote its own legitimate business activities and permitted products.

Vendors must not use another business’s identity, brand or credentials in a way that misleads buyers or falsely implies authorisation, partnership or affiliation.

5.3 Account management

Vendors are responsible for managing their listings, responding to enquiries, updating product information and maintaining the accuracy of their storefront.

PlantBridge Africa may provide account management tools and platform features but does not guarantee that every feature will always be available without interruption.

6. Product Listings and Advertising

6.1 Listing accuracy

Vendors must ensure that all published listings are accurate, current and not materially misleading.

Where relevant, listings should include:

  • Equipment make, model and year.
  • Equipment condition, including whether it is new, used or refurbished.
  • Main technical specifications.
  • Equipment location.
  • Price or a clear indication that the price is available on enquiry.
  • Availability and delivery information.
  • Material defects, damage or limitations known to the vendor.
  • Relevant photographs and supporting information.

The information required may vary according to the product category.

6.2 Authority to advertise

Vendors must have the legal right or appropriate authority to advertise the equipment they list.

A vendor must not knowingly advertise stolen equipment, fictitious inventory or products it has no legitimate authority to offer.

6.3 Photographs and technical information

Photographs and descriptions must not mislead buyers about the actual equipment being offered.

Where manufacturer images, illustrative images or stock photographs are used, they must not falsely imply that the particular item shown is the exact unit available for sale.

Vendors must not knowingly publish fabricated specifications, false operating hours, inaccurate equipment histories or unsupported warranty claims.

6.4 Price and availability updates

Vendors must update or remove listings promptly when equipment is sold, withdrawn, damaged, no longer available or materially different from the published description.

Any additional charges, including transport, installation or other applicable costs, should be disclosed clearly to prospective buyers.

6.5 Listing approval and removal

PlantBridge Africa may review, decline, suspend, edit for presentation or remove listings that appear to violate these Vendor Terms, the general Terms and Conditions, applicable law or marketplace requirements.

We may request supporting information before approving or continuing to display a listing.

Publication on the marketplace does not mean PlantBridge Africa has independently inspected or guaranteed the listed equipment.

7. Vendor Conduct and Communication

Vendors must conduct themselves professionally and communicate honestly with prospective buyers.

Vendors agree to:

  1. Respond to enquiries in a reasonable and professional manner.
  2. Provide accurate information about their products and commercial terms.
  3. Avoid misleading, fraudulent or deceptive sales practices.
  4. Honour commitments made directly to buyers under agreements they enter into.
  5. Respect buyers’ privacy and handle their information lawfully.
  6. Avoid unsolicited, abusive or unlawful communications.
  7. Refrain from manipulating listings, enquiries, verification status or other marketplace features.
  8. Cooperate reasonably with PlantBridge Africa when addressing complaints about their listings or conduct.

PlantBridge Africa may review reported conduct and take appropriate action where a vendor breaches these obligations.

8. Vendor Fees and Pricing

8.1 Applicable fees

Depending on the services used, vendors may be required to pay listing fees, promotional charges, account fees, commissions or other charges expressly communicated by PlantBridge Africa.

The applicable charges will be stated in the vendor pricing document, applicable service terms, invoice or separate written agreement.

8.2 Disclosure and acceptance

Vendors must pay applicable fees and commissions in accordance with the agreed amounts, calculation methods and payment deadlines.

Failure to pay amounts due may result in restrictions on paid features, promotional services or vendor account functions, subject to the applicable agreement and law.

8.4 Sales commissions

Where a vendor has accepted a sales commission arrangement, the vendor must pay PlantBridge Africa the agreed commission in accordance with the applicable commission terms.

The applicable commission rate, calculation method, payment deadline and other conditions will be stated in the relevant vendor pricing document or written agreement.

Vendors are responsible for their own tax obligations arising from their business activities and transactions, in accordance with applicable law.

8.5 Reporting covered transactions

Where an accepted commission arrangement applies to completed transactions originating through PlantBridge Africa, vendors must provide accurate information reasonably required to calculate the commission payable.

Vendors must not knowingly conceal a covered transaction or provide false information to avoid an agreed commission.

Any commission obligation will be determined by the scope and conditions of the applicable accepted arrangement.

8.6 Changes to fees

PlantBridge Africa may revise its pricing or introduce new paid services by providing appropriate notice before the revised charges apply.

Unless agreed otherwise or permitted by law, a pricing change will not retrospectively create a new fee or commission obligation for a past transaction where no such obligation was agreed.

Payment for a listing or promotional service does not guarantee enquiries, leads, sales, a particular ranking or a commercial outcome.

Nothing in these Vendor Terms excludes a refund or other remedy that is legally required.

10. Buyer Payments and Vendor Transactions

10.1 Direct transactions

PlantBridge Africa connects buyers and vendors. Buyers and vendors negotiate and enter into their own equipment transactions.

Unless a separate written agreement expressly provides otherwise, PlantBridge Africa does not act as the seller of listed equipment and does not hold equipment purchase funds in escrow.

10.2 Receiving payment

Vendors are responsible for providing accurate payment instructions and agreeing on payment arrangements with buyers.

Vendors are responsible for their own fulfilment obligations, including delivery, collection, documentation, warranties and after-sales support where agreed with a buyer.

10.3 Buyer enquiries and agreements

Vendors must ensure that material terms communicated to buyers are accurate and consistent with the agreement ultimately reached.

Vendors should document important terms, including price, deposits, delivery arrangements, warranties and cancellation conditions.

10.4 Complaints and disputes

Vendors are responsible for addressing complaints and disputes arising from their own equipment, representations, payment arrangements, delivery, warranties and other contractual commitments.

PlantBridge Africa may, at its discretion, review a complaint or facilitate communication but is not required to mediate or resolve every dispute.

Nothing in this section removes any legal rights or obligations that apply to the vendor or buyer.

11. Prohibited Vendor Activities

Vendors must not:

  • Publish fraudulent, fictitious or materially misleading listings.
  • Advertise stolen or unlawfully obtained equipment.
  • Submit false business information or forged verification documents.
  • Make unauthorised claims of manufacturer representation or dealership.
  • Misrepresent equipment ownership, condition, specifications, history or availability.
  • Use PlantBridge Africa to promote unlawful products or activities.
  • Infringe intellectual property rights.
  • Manipulate enquiries, search visibility or verification status through deceptive means.
  • Misuse buyer contact details or engage in unlawful marketing.

PlantBridge Africa may investigate suspected violations and take appropriate action under these Vendor Terms and the general Terms and Conditions.

12. Intellectual Property and Vendor Content

Vendors retain ownership of content they lawfully own or are authorised to use, including product photographs, descriptions, logos and business materials.

By submitting content to PlantBridge Africa, vendors grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format and promote that content as reasonably necessary to operate, maintain, improve and market the marketplace.

Vendors confirm that they have the rights and permissions necessary to provide the content and grant this licence.

Vendors must not upload or use another party’s protected content without the necessary permission or legal basis.

If a vendor believes that its intellectual property has been infringed on PlantBridge Africa, it should contact info@plantbridgeafrica.com and provide sufficient information for the complaint to be reviewed.

13. Vendor Data and Privacy

Vendors must handle buyer and other personal information lawfully and only for appropriate purposes connected with legitimate business activities.

Vendors must not sell, misuse, unlawfully disclose or use personal information obtained through the marketplace for unauthorised marketing or other unlawful purposes.

PlantBridge Africa will handle personal information in accordance with its Privacy Policy and applicable data protection law.

Vendors should consult the Privacy Policy for further information about how PlantBridge Africa handles personal information.

14. Suspension, Removal and Termination

PlantBridge Africa may suspend or restrict vendor services where reasonably necessary because of a breach of these Vendor Terms, the general Terms and Conditions, applicable law, a security concern or a material risk to marketplace users.

Actions may include:

  • Requesting corrections to vendor information or listings.
  • Rejecting or removing listings.
  • Suspending or withdrawing Verified Dealer status.
  • Restricting account features.
  • Suspending promotional or other paid services where permitted.
  • Suspending or terminating a vendor account.
  • Reporting suspected unlawful conduct where required or appropriate.

Where reasonably practicable, PlantBridge Africa will provide notice and an opportunity to address the issue. Immediate action may be taken where necessary to protect users, prevent fraud, address security risks or comply with the law.

Vendors may request account closure by contacting info@plantbridgeafrica.com.

Closing an account does not automatically cancel fees already due or obligations arising from accepted agreements. Any applicable paid-service terms, accrued payment obligations and provisions intended to survive termination remain subject to their terms and applicable law.

15. Changes to These Vendor Terms

PlantBridge Africa may update these Vendor Terms to reflect changes in marketplace operations, vendor services, pricing arrangements, legal requirements or business practices.

The updated version will be published on the website with a revised “Last Updated” date.

Where a change materially affects vendors or an existing paid service, we will provide reasonable notice where appropriate or legally required.

Where express acceptance is required, the change will not take effect against the vendor until that acceptance has been obtained.

Continued use of the vendor services after revised terms take effect constitutes acceptance where such acceptance is legally effective.

16. Governing Law and Disputes

These Vendor Terms are governed by the laws of Kenya, subject to any mandatory laws that apply to a particular vendor or transaction.

Vendors should first direct complaints concerning PlantBridge Africa’s vendor services to info@plantbridgeafrica.com, providing relevant account or listing details and a description of the issue.

We will endeavour to address complaints reasonably and in a timely manner.

Disputes that cannot be resolved informally may be referred to a competent court in Kenya, subject to applicable jurisdictional rules and mandatory legal protections.

Nothing in this section prevents a party from exercising any legal right or seeking urgent legal relief where appropriate.

17. General Provisions

17.2 Severability

If any provision of these Vendor Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent legally possible.

17.3 No waiver

A failure or delay by PlantBridge Africa in exercising a right under these Vendor Terms does not constitute a waiver of that right.

17.4 Assignment

Vendors may not transfer their vendor accounts or obligations without PlantBridge Africa’s prior written consent, except where permitted by law.

17.5 No waiver of statutory rights

Nothing in these Vendor Terms excludes or restricts any right or remedy that cannot lawfully be excluded or restricted.
